These general sales and delivery terms apply to business customers in hospitality (HORECA). Price changes and prior sale are reserved. Prices are exclusive of VAT unless explicitly stated otherwise.

Deliveries / Delivery windows
Deliveries are made according to the agreed delivery window and carrier routing. We expressly reserve the right to make partial deliveries. Express or time-critical deliveries are possible and may be charged separately if agreed.2
Packaging units
Order quantities that do not match our original packaging units may be rounded up to the next unit. Packaging units include cartons, cases, trays, kegs and pallets (depending on the product).3
Availability / vintage changes
If a vintage or item is no longer available, we may – where reasonable – supply the next available vintage or an equivalent product without prior notice. The customer may exclude this option in writing when ordering.4
No right of return
Orders are binding. Correctly delivered and defect-free goods are generally neither exchangeable nor returnable. Returns (e.g., consignment) are only possible if expressly agreed in writing.5
Warranty / notice of defects
The customer must inspect the goods immediately upon receipt. Apparent defects must be reported in writing without delay; hidden defects immediately after discovery. If the inspection and notice obligations are not met, the delivery is deemed accepted and warranty claims are excluded to the extent permitted by law. In case of a justified and timely notice, we may remedy by replacement, credit note (up to the goods value) or price reduction, at our discretion.6
Consignment (only if agreed)
Consignment deliveries must be expressly agreed. Returns require prior approval/return authorization and must be in full original packaging units and in perfect condition. Handling fees may apply as agreed.7
Returnable packaging / pallets
Where returnable packaging (e.g., Euro pallets/EPAL, crates) is used, it is exchanged on a 1:1 basis unless agreed otherwise. Empty returns must be announced in advance. Missing returnables may be charged according to the agreement.8
Payment terms
Invoices are payable as stated on the invoice/offer. In the event of late payment, default interest and reasonable reminder fees may be charged. Depending on credit assessment, we may require prepayment or partial payments.9
Retention of title
Goods remain the property of the supplier until full payment has been received. In case of non-payment, we reserve the right to reclaim the goods, to the extent permitted by law.10
Youth protection
The sale and delivery of alcoholic products is only made to persons of legal age (minimum 18 years). The customer ensures acceptance and onward distribution accordingly.11
Liability
Any liability in connection with our offer and deliveries is excluded to the extent permitted by law, or limited to intent and gross negligence. Liability for indirect damages (lost profit, consequential damages) is excluded to the extent permitted by law.12
Force majeure
Force majeure, operational disruptions or difficulties caused by official measures (import/customs) release us from the delivery obligation for the duration and extent of the impairment.13

Governing law / jurisdiction
Swiss law applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Place of jurisdiction is Zurich, Switzerland, unless mandatory law provides otherwise.
